IMPORTANT NOTICE

The Everest C1 is currently under active development. All marketing claims, performance specifications, feature descriptions, benchmarks, and delivery timelines should be treated as preliminary and subject to change. No representations made in promotional materials, presentations, social media, or other communications constitute binding commitments until the Product reaches production and final specifications are confirmed. You acknowledge that actual performance, capabilities, and availability may differ materially from any projections or claims made during the development phase.

Introduction and Acceptance

1.1 By placing a pre-order for the Everest C1 ARM64 server board (the “C1” or the “Product”), you enter into a binding agreement with Everest Technologies Inc. (“Everest,” “we,” “us,” or “our”). These Terms and Conditions (the “Terms”) govern your pre-order and any subsequent purchase of the Product.

1.2 By completing the online pre-order process (for example, by clicking a button labeled “Pre-Order,” “Place Order,” or similar), you confirm that you have read, understood, and agree to be bound by these Terms, including the non-cancellable and non-refundable nature of the pre-order and Deposit described below.

1.3 If you are placing a pre-order on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms and that all references to “you” and “customer” apply to that entity.

Product Description and Specifications

2.1 The C1 is an ARM64 server board currently planned to include, among other elements, the following key components:

  • 2.1a Qualcomm Snapdragon X2 Extreme APU (4nm process)
  • 2.1b 18-core CPU with performance and efficiency cores
  • 2.1c Between 32 and 128GB LPDDR5X-8533 unified memory
  • 2.1d Hexagon NPU targeting 80+ AI TOPS
  • 2.1e PCIe 4.0 x16 HyperLink interconnect (up to 100GB/s)
  • 2.1f Dual M.2 2280 NVMe or Mini SAS HD connectivity
  • 2.1g Redundant USB-C PD 3.1 power inputs (100W each)
  • 2.1h IPMI 2.0-compliant BMC with REST API

2.2 The Product is in active development. Specifications may be updated for engineering reasons, performance improvements, or component availability, provided that the overall functionality for typical, intended use cases remains substantially in line with the Product’s positioning.

2.3 If Everest implements a change that materially reduces core capabilities or fundamentally alters the intended use of the Product for typical workloads, Everest will notify affected pre-order customers and outline any options that may be made available at that time.

Pre-Order, Base Price, and Payment Structure

3.1 The base total retail price for a single C1 unit (1-7 units) is $1,999 (the “Base Purchase Price”). The pre-order payment structure consists of two phases per unit:

  • 3.1a Phase 1 - Reservation Deposit ($99 per unit). A payment of 99 USD or local currency equivalent, including VAT and local sales taxes if required by law, per unit is charged at the time you place your pre-order (the “Deposit”). The Deposit is a reservation and allocation fee that is earned by Everest upon receipt, as it immediately supports production planning, administrative processing, and material commitments for your reserved units.
  • 3.1b Phase 2 - Final Balance (remaining price per unit). The remaining balance per unit (the “Final Balance”) will be charged approximately seventy-two (72) hours before the scheduled shipment date for your order, based on the applicable per-unit price tier described in Section 3A.

3.2 You authorize Everest and its payment processors to charge the Deposit at the time of pre-order and to charge the applicable Final Balance when due. If Everest is unable to successfully collect the Final Balance after reasonable attempts to contact you, Everest may cancel your production allocation; in that event, the Deposit remains fully earned and is not refundable.

3.3 For international orders, you are responsible for any import duties, taxes, customs fees, brokerage fees, and similar charges imposed by the destination jurisdiction. Such amounts are separate from and in addition to the Purchase Price unless expressly stated otherwise at checkout.

Volume Pricing

3A.1 The per-unit Purchase Price is determined by the total number of C1 units included in a single order, according to the tiered pricing table below.

3A.2 The applicable tier is determined solely by the total quantity in a single order. Separate orders are not aggregated for tier eligibility. All other terms, including the per-unit Deposit and non-refundable nature of that Deposit, apply to each unit within any tier.

Delivery Timeline and Logistics

4.1 The current estimated delivery window for the first production run of the C1 is Q4 2027.

4.2 This delivery window is an estimate only and may be adjusted in response to supply chain conditions, manufacturing yields, logistics, regulatory requirements, and other factors reasonably beyond Everest’s direct control. A change in the estimated delivery date, by itself, does not entitle you to cancel your pre-order or receive a refund of the Deposit.

4.3 Everest will use commercially reasonable efforts to keep you informed about material updates to the production and delivery schedule, including by email and via community channels such as Everest’s Discord server.

Non-Cancellation and Refund Policy

5.1 Pre-orders allow Everest to plan production volumes, secure components, and reserve capacity specifically for your units. To keep this fair and predictable, pre-orders are not cancellable by the customer except as expressly set out in these Terms.

5.2 Non-Cancellable Pre-Orders

5.2a Once you place a pre-order and the Deposit is successfully charged, your pre-order is considered firm and may not be cancelled by you for convenience, including for reasons such as change of mind, alternative purchases, or changes to your internal plans or budget.

5.2b Subject to any mandatory consumer rights in your jurisdiction, you expressly waive any right to unilaterally cancel the pre-order for reasons other than those provided in these Terms.

5.3 Non-Refundable Deposit

5.3a The $99 per-unit Deposit is strictly non-refundable in all circumstances except as expressly described in Section 5.4 (Severe Production Quality Issues). This non-refundability applies, without limitation, to:

  • 5.3a(i) Change of mind or purchase of a different product
  • 5.3a(ii) Perceived or actual changes in market conditions or competing offerings
  • 5.3a(iii) Ordinary shipping delays within commercially reasonable bounds
  • 5.3a(iv) Minor specification or component changes that do not materially reduce core functionality
  • 5.3a(v) Non-severe hardware or software issues that are addressable under the standard warranty

5.3b The Deposit operates as a fee that compensates Everest for the reservation of production capacity and for administrative and material costs that begin as soon as your pre-order is placed.

5.4 Severe Production Quality Issues (Exclusive Exception)

5.4a The only circumstance in which the Deposit may be refunded is where the Product is found by Everest to have a “Severe Production Quality Issue.”

5.4b A “Severe Production Quality Issue” is strictly defined as a manufacturing defect that renders the unit Dead-on-Arrival (DOA), such that the Product cannot complete a basic power-on and boot sequence in accordance with Everest’s official getting-started documentation, and where the cause is not attributable to shipping damage, third-party hardware, software configuration, misuse, or improper handling.

5.4c Everest may require you to undertake reasonable remote troubleshooting steps and may require the return of the unit for engineering inspection. If Everest confirms a Severe Production Quality Issue and you choose a refund instead of repair or replacement, you will be entitled to a refund of the full per-unit Purchase Price actually paid (Deposit plus Final Balance) for each affected unit, subject to your cooperation in returning the Product.

5.5 Voluntary Returns After Delivery

5.5a After you receive your Product, Everest may, at its discretion, accept a Voluntary Return within thirty (30) days from delivery. Any such policy is a courtesy to customers and does not alter the non-refundable nature of the Deposit.

5.5b If a Voluntary Return is accepted by Everest:

  • 5.5b(i) Everest will refund the Final Balance actually paid for the returned unit(s), less any reasonable deductions for missing, damaged, or excessively worn components.
  • 5.5b(ii) The Deposit will remain non-refundable and will not be returned in connection with a Voluntary Return.
  • 5.5b(iii) You are responsible for arranging and paying for return shipping and for any risk of loss in transit.
Hardware Warranty and Support

6.1 Each C1 unit includes the following standard coverage:

  • 6.1a A limited hardware warranty of three (3) years from the date of delivery covering defects in materials and workmanship under normal, intended use.
  • 6.1b Any applicable component-level warranties provided by third-party manufacturers, which may include their own additional terms and exclusions.
  • 6.1c Access to community-based technical support (for example, via Everest’s Discord server) and, where separately purchased, professional support services.
  • 6.1d Access to BMC and boot firmware updates made generally available by Everest during the warranty period.

6.2 To the extent permitted by law, Everest’s obligation under the limited hardware warranty is, at Everest’s option, to repair the unit, replace it with a new or refurbished unit of equal or better performance, or refund the Purchase Price actually paid for that unit.

6.3 Warranty service or replacement does not, in itself, entitle you to a refund of the Deposit unless the unit is deemed irreparable and is confirmed to have a Severe Production Quality Issue under Section 5.4.

Software, Operating Systems, and Compatibility

7.1 No operating system is pre-installed or included with the C1. The Product is designed to work with ARM64-compatible software ecosystems, including various Linux distributions, container and orchestration platforms, AI/ML frameworks, and virtualization solutions.

7.2 You are solely responsible for obtaining and complying with any software licenses required for your chosen operating systems and applications, and for installing, configuring, and maintaining your software stack.

7.3 Everest does not guarantee compatibility with any specific operating system, driver, framework, or application, even if referenced in marketing materials or documentation, and does not guarantee particular performance levels for any specific workload or use case.

Pre-Order Risks and Customer Acknowledgements

8.1 By placing a pre-order, you acknowledge that you are supporting a product that is still in development and that certain risks are inherent in that process. These may include, without limitation:

  • 8.1a Development Risk: Ongoing engineering work may lead to changes in components, features, or specifications.
  • 8.1b Delivery Risk: The estimated delivery window may need to be adjusted due to supply chain, manufacturing, or logistics challenges.
  • 8.1c Performance Risk: Actual performance may vary from early benchmarks or projections once hardware and software are finalized.
  • 8.1d Compatibility Risk: Not all third-party software, drivers, or peripherals will be compatible or supported without additional tuning.
  • 8.1e Market/Technology Risk: Alternative or newer technologies, as well as competing products, may appear before or after your unit ships.

8.2 You agree that these risks, individually or collectively, do not provide a basis to cancel your pre-order or to obtain a refund of the Deposit, except to the extent expressly set out in these Terms.

Intellectual Property and Use Restrictions

9.1 Upon delivery and full payment of the applicable Purchase Price, you acquire ownership of the physical C1 hardware. All firmware, software, designs, schematics, and documentation are owned by Everest and/or its licensors and are protected by intellectual property laws.

9.2 Everest grants you a non-exclusive, non-transferable, revocable license to use the firmware and BMC software provided with the Product solely in connection with that Product, subject to all applicable license notices and restrictions.

9.3 You may modify the hardware for lawful purposes, including in commercial deployments, understanding that such modifications may void some or all warranty coverage to the extent permitted by law.

9.4 Except where permitted by applicable law, you may not reverse engineer, decompile, or disassemble proprietary firmware or software, redistribute firmware images, or use the Product in connection with unlawful activities.

Export Controls and Compliance

10.1 The Product and related technology may be subject to United States export control laws and regulations, as well as the export and import laws of other countries. By placing a pre-order and accepting delivery, you represent and warrant that:

  • 10.1a You are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions or embargoes.
  • 10.1b You are not listed on, and are not acting on behalf of any party listed on, any U.S. government restricted party list.
  • 10.1c You will not use, export, re-export, or transfer the Product in violation of applicable export control or sanctions laws and will obtain any licenses or approvals required for your specific uses.

10.2 Everest may request additional information or documentation to evaluate export control compliance and may decline or cancel any order if fulfilling it would, in Everest’s good-faith judgment, create a material risk of violating applicable law. In such cases, Everest will refund any amounts paid for the affected order, except to the extent lawfully required or permitted to withhold.

Limitation of Liability

11.1 To the fullest extent permitted by applicable law, Everest’s total aggregate liability arising out of or relating to these Terms, the pre-order, the Product, or any related services shall not exceed the total amounts actually paid by you to Everest for the specific Product giving rise to the claim.

11.2 To the extent permitted by law, Everest will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business interruption, even if Everest has been advised of the possibility of such damages.

11.3 Everest is not responsible for losses or damages arising from third-party software or services, your failure to implement reasonable data backup and security measures, use of the Product contrary to documentation or law, or events reasonably beyond our control (including but not limited to natural disasters, major supply-chain disruptions, or governmental actions).

Governing Law and Dispute Resolution

12.1 These Terms and any dispute or claim arising out of or relating to them or to the Product (each, a “Dispute”) are governed by the internal laws of the State of Delaware, USA, without giving effect to conflict-of-law rules that would direct the application of another jurisdiction’s laws.

12.2 Except where prohibited by applicable law, any Dispute shall be resolved exclusively through final and binding arbitration seated in Delaware and conducted in English, before an arbitral institution or arbitrator mutually agreed by the parties.

12.3 To the extent permitted by law, you and Everest each waive the right to participate in any class, collective, or representative proceeding, and agree that all proceedings will be conducted solely on an individual basis.

Communications and Notices

13.1 By placing a pre-order, you consent to receive electronic communications from Everest relating to your order, including confirmations, invoices, shipping notifications, support communications, and important information about these Terms.

13.2 Everest may also send optional newsletters, community invitations, and promotional messages. Where required by law, you may opt out of promotional communications at any time, without affecting transactional or service-related messages necessary to support your order.

Changes to These Terms

14.1 Everest may update these Terms from time to time, for example to reflect changes in law, improvements to the Product, or adjustments to our business practices. The “Last updated” date at the top of this page indicates when these Terms were last revised.

14.2 If Everest makes material changes that apply to existing pre-orders, Everest will provide at least thirty (30) days’ notice by email and/or by posting the updated Terms on the website. Your continued participation in the pre-order program after the effective date of the updated Terms constitutes your acceptance of those changes, except to the extent otherwise required by law.

Final Acknowledgement

16.1 By submitting your pre-order, you acknowledge that you have carefully reviewed these Terms, understand that your pre-order cannot be cancelled for convenience and that the per-unit Deposit is strictly non-refundable (subject only to the limited exception for Severe Production Quality Issues in Section 5.4), and agree that these provisions are reasonable given the development-stage and reserved-capacity nature of the Product.
